headquartered in the United Arab Emirates. They are seeking an experienced
M&A Specialized Lawyer to join our dynamic team of legal professionals. As
an M&A Specialized Lawyer at the firm, you will have the opportunity to
work on complex mergers and acquisitions transactions, providing expert legal
counsel to a diverse range of clients across various industries.
Key Responsibilities:
1. M&A Transaction Management:
- Lead and manage all aspects of mergers and acquisitions transactions,
from due diligence to
closing.
- Draft and review legal documents, including contracts, agreements, and
transactional documents.
- Ensure compliance with UAE and international laws and regulations
throughout the M&A process.
2. Client Advisory:
- Provide strategic and legal advice to clients on M&A opportunities
and risks.
- Collaborate with clients to identify and address legal issues,
ensuring their business objectives are
met.
3. Due Diligence:
- Conduct thorough due diligence investigations to assess the legal,
financial, and operational
aspects of target companies.
- Analyse and report on findings to clients, highlighting potential
risks and opportunities.
4. Negotiation and Structuring:
- Participate in negotiations on behalf of clients, working to secure favourable
terms and
conditions.
- Assist in structuring M&A transactions to optimize tax efficiency
and achieve client objectives
5. Legal Research and Analysis:
- Stay updated on changes in UAE and international laws and regulations
related to M&A.
- Conduct legal research to support client cases and transactions.
6. Team Collaboration:
- Collaborate effectively with colleagues within the firm, including
partners, associates, and support
staff.
- Mentor and provide guidance to junior lawyers and legal interns.
Qualifications:
- Bachelor's degree in law; LLM or
equivalent advanced degree is a plus.
- A minimum of 5-6 years of
experience in mergers and acquisitions law, preferably in a reputable law
firm or corporate legal department.
- Strong understanding of UAE and
international corporate law and regulations.
- Excellent negotiation,
communication, and analytical skills.
- Ability to work independently
and as part of a team.
- Client-focused with exceptional
problem-solving abilities.
- Fluency in English is required;
proficiency in Arabic is a plus.
